1. INTRODUCTION
These Terms & Conditions (“Terms”) govern all services provided by Arrow Marketing (Pty) Ltd (“Arrow Marketing”, “we”, “us”, “our”) to any client (“Client”, “you”, “your”). By engaging our services, signing a quotation, paying an invoice, or communicating acceptance in writing, you agree to be bound by these Terms.
These Terms apply to all service categories, including but not limited to:

Branding, design & creative direction

Social media management & content creation
-
Email marketing & CRM setup

Paid advertising campaigns

Event planning, concepting & coordination

Wedding planning & coordination

Supplier sourcing & recommendations

Copywriting & messaging

Website design, hosting & domain management

Digital infrastructure setup

Retainer services
2. DEFINITIONS

“Services” refers to any work performed by Arrow Marketing.

“Client Materials” refers to logos, images, text, brand assets, or information provided by the Client.

“Deliverables” refers to final outputs such as designs, content, strategies, websites, or event plans.
-
“Third‑Party Suppliers” refers to vendors not employed by Arrow Marketing (e.g., photographers, venues, hosting providers).
-
“Hosting Services” refers to website hosting, domain registration, DNS management, and related digital services.
3. QUOTATIONS & PRICING
3.1 All quotations are valid for 7 days unless otherwise stated. 3.2 Pricing may change based on scope, urgency, or additional requests. 3.3 Any work outside the original quotation will be billed as an additional service. 3.4 Arrow Marketing reserves the right to adjust pricing annually.
4. PAYMENTS & BILLING
4.1 Arrow Marketing operates on a strict 100% upfront payment policy. No work will begin until full payment reflects in our account.
4.2 This applies to all services, including:

Branding & design
-
Marketing services
-
Website design & development
-
Website hosting & domains
-
Printing of any kind
-
Events & weddings
-
Retainer services
-
Digital services
4.3 Hosting and domain fees are billed annually in advance. 4.4 Retainers are billed monthly in advance. 4.5 Late payments may result in paused work, delayed delivery, or suspension of hosting services. 4.6 No refunds will be issued for completed or partially completed work.
5. CANCELLATIONS & RESCHEDULING
5.1 All payments are non‑refundable. 5.2 If the Client cancels a project after work has begun, the Client remains responsible for all work completed. 5.3 Event and wedding cancellations within:

30 days of the event: 100% of the quoted amount is payable

60 days of the event: 50% payable 5.4 Rescheduling is subject to availability and may incur additional fees.
6. CLIENT RESPONSIBILITIES
The Client agrees to:

Provide accurate information, content, and approvals on time

Supply all required materials before deadlines
-
Communicate changes in writing
-
Ensure they have rights to any materials they provide
-
Review and approve drafts promptly
Arrow Marketing is not responsible for delays caused by late feedback or missing information.
7. TURNAROUND TIMES
7.1 Timelines begin once all required materials and full payment are received. 7.2 Urgent work may incur a rush fee. 7.3 Delays caused by the Client extend the delivery timeline.
8. REVISIONS
8.1 Most services include 1–2 rounds of revisions, depending on the package. 8.2 Additional revisions will be billed at an hourly or per‑revision rate. 8.3 Revisions must be requested within 7 days of receiving deliverables.
9. INTELLECTUAL PROPERTY
9.1 Arrow Marketing retains ownership of all concepts, drafts, and working files. 9.2 Final approved deliverables become the Client’s property once full payment is received. 9.3 Arrow Marketing may use completed work for:

Portfolio

Social media
-
Advertising
-
Case studies unless the Client requests confidentiality in writing.
10. THIRD‑PARTY SUPPLIERS
10.1 Arrow Marketing may recommend or book suppliers on behalf of the Client. 10.2 Arrow Marketing is not responsible for:

Supplier performance
-
Supplier delays
-
Supplier pricing changes
-
Supplier errors or damages 10.3 All supplier payments must be made directly to the supplier unless otherwise agreed. 10.4 Arrow Marketing acts as a coordinator, not the supplier.
11. EVENTS & WEDDINGS
11.1 Arrow Marketing is responsible for planning, coordination, and concepting—not physical labour unless stated. 11.2 The Client is responsible for:

Venue access

Permits
-
Safety compliance
-
Guest behaviour 11.3 Arrow Marketing is not liable for:

Weather conditions
-
Venue issues
-
Supplier failures
-
Guest injuries
-
Loss or damage of personal items
12. WEBSITE HOSTING, DOMAINS & DIGITAL SERVICES
12.1 Hosting and domain services are billed annually in advance. 12.2 Failure to pay hosting/domain fees may result in suspension or loss of the domain. 12.3 Arrow Marketing is not responsible for:

Server outages
-
Hosting provider downtime
-
Domain loss due to late payment
-
Email disruptions caused by hosting providers
-
Security breaches caused by weak Client passwords 12.4 Arrow Marketing may use third‑party hosting providers at its discretion. 12.5 The Client is responsible for:

Renewing domains on time
-
Maintaining secure passwords
-
Providing accurate DNS information if using external services 12.6 Arrow Marketing is not liable for data loss, hacking, or website downtime. 12.7 Website maintenance is not included unless the Client is on a maintenance plan.
13. MARKETING & DIGITAL SERVICES
13.1 Results such as engagement, reach, sales, or growth cannot be guaranteed. 13.2 Paid advertising budgets are separate from Arrow Marketing’s fees. 13.3 Arrow Marketing is not responsible for:

Platform outages
-
Algorithm changes
-
Account restrictions
-
Loss of access due to Client error
14. CONFIDENTIALITY
Both parties agree to keep sensitive information confidential. This excludes publicly available information or content the Client approves for publication.
15. LIMITATION OF LIABILITY
Arrow Marketing is not liable for:

Loss of income
-
Loss of profits
-
Delays caused by third parties
-
Errors resulting from incorrect Client information
-
Damages caused by suppliers, venues, or hosting providers
Our total liability will never exceed the amount paid by the Client for the specific service.
16. INDEMNITY
The Client agrees to indemnify and hold Arrow Marketing harmless against any claims arising from:

Copyright violations caused by Client materials

Misuse of deliverables
-
Supplier issues
-
Event‑related incidents
-
Hosting or domain issues caused by late payments or Client negligence
17. TERMINATION
Arrow Marketing may terminate a project if:

The Client is abusive or unprofessional
-
Payments are not made
-
The Client repeatedly delays the project
-
The Client breaches these Terms
No refunds will be issued for terminated projects.
18. FORCE MAJEURE
Arrow Marketing is not responsible for delays or cancellations caused by events outside our control, including:

Natural disasters
-
Illness
-
Load shedding
-
Strikes
-
Pandemics
-
Supplier or hosting provider shutdowns
19. GOVERNING LAW
These Terms are governed by the laws of South Africa. Any disputes will be resolved in the appropriate South African court.
20. ACCEPTANCE
By paying an invoice or using our services, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
